Procedures for Establishing a Limited Liability Company:
1. Submission of Limited Liability Company Name
The submission of this company name is registered by a notary through the Legal Entity Administration System (Sisminbakum) of the Ministry of Law and Human Rights.

Attach the original form and establishment of the power of attorney;
Attach a photocopy of the Identity Cards (“KTP”) of the founders and company administrators;
Attach a photocopy of the Family Card (“KK”) of the leaders/founders of the PT.
This process aims to check the name of the PT, where the use of the PT must not be the same or very similar to the name of an existing PT, so what needs to be prepared is 2 (two) or 3 (three) choices of PT names, try to make the PT name reflect your business activities. 2. Making of PT Deed of Establishment
The making of the deed of establishment is carried out by an authorized notary throughout the territory of the Republic of Indonesia to then obtain approval from the Minister of Law and Human Rights.

The position of the PT, where the PT must be located in the territory of the Republic of Indonesia by stating the name of the City where the PT carries out business activities as the Head Office;
The founders of the PT must be at least 2 people or more;

Each founder must take part in the shares, except in the context of a merger;
Minimum authorized capital of IDR 50,000,000 (fifty million Rupiah) and paid-up capital of at least 25% (twenty five percent) of the authorized capital;
Minimum 1 Director and 1 Commissioner; and
Shareholders must be Indonesian citizens or legal entities established under Indonesian law, except for PT with Foreign Capital or commonly called PT PMA.
3. Making SKDP
Application for SKDP (Company Domicile Certificate) is submitted to the local sub-district office according to the address of your PT office, which is as proof of information/existence of the company address (building domicile, if in a building). Other requirements needed are: photocopy of the last year’s Land and Building Tax (PBB), Lease Agreement or business premises contract for those domiciled not in an office building, Director’s Identity Card (KTP), Building Construction Permit (IMB) if the PT is not in an office building.
4. Making NPWP
Application for NPWP registration is submitted to the Head of the Tax Service Office according to the domicile of the PT. Other requirements needed are: personal NPWP of the Director of the PT, photocopy of the Director’s KTP (or photocopy of Passport for foreign nationals, specifically for PT PMA), SKDP, and deed of establishment of the PT.
5. Making the Company’s Articles of Association
This application is submitted to the Minister of Law and Human Rights to obtain ratification of the Company’s Articles of Association (deed of establishment) as a PT legal entity in accordance with the UUPT. The requirements needed include:
Proof of bank deposit equal to the paid-up capital in the deed of establishment;
Proof of Non-Tax State Revenue (PNBP) as payment for state minutes;
Original deed of establishment.
6. Submitting a SIUP
This SIUP is useful so that the PT can carry out its business activities. However, it should be noted that every company must make a SIUP, as long as the business activities it carries out are included in the Indonesian Standard Business Field Classification (KBLUI) as stipulated in the Regulation of the Head of the Central Statistics Agency Number 57 of 2009 concerning the Indonesian Standard Business Field Classification.
The SIUP registration application is submitted to the Head of the Industry and Trade Sub-dept. and/or the Micro, Small and Medium Enterprises Cooperatives and Trade of the relevant city or district according to the domicile of the PT. The classification of SIUP based on the Regulation of the Minister of Trade No. 39/M-DAG/PER/12/2011 concerning the Second Amendment to the Regulation of the Minister of Trade No. 36/M-DAG/PER/9/2007 concerning the Issuance of Trade Business Licenses is as follows:
Small SIUP, must be owned by trading companies whose net assets are more than Rp. 50,000,000,- (fifty million rupiah) up to a maximum of Rp. 500,000,000,- (five hundred million rupiah) excluding land and buildings for business premises;
Medium SIUP, must be owned by trading companies whose net assets are more than Rp. 500,000,000,- (five hundred million rupiah) up to a maximum of Rp. 10,000,000,000,- (ten billion rupiah) excluding land and buildings for business premises;
Large SIUP, must be owned by trading companies whose net assets are more than Rp. 10,000,000,000,- (ten billion Rupiah) excluding land and buildings for business premises.
7. Submitting a Company Registration Certificate (TDP)
The registration is submitted to the Head of the Industry and Trade Sub-dept. and/or the Cooperatives of Micro, Small and Medium Enterprises and Trade of the relevant city or district according to the company’s domicile. For companies that have been registered, a TDP certificate will be given as proof that the company/business entity has carried out the mandatory company registration in accordance with the Regulation of the Minister of Trade of the Republic of Indonesia No. 37/M-DAG/PER/9/2007 concerning the Implementation of Company Registration.
8. State Minutes of the Republic of Indonesia (BNRI)
After the company has carried out the mandatory company registration and has received approval from the Minister of Law and Human Rights, it must be announced in the BNRI of the company that has been announced in the BNRI, then the PT has perfect status as a legal entity.
